Your Roadmap to a Safe and Transparent Marketplace Experience
1.1 These Terms and Conditions ("Terms") govern your access to and use of the website www.buyorsell.ae and any related mobile applications or services (together, the "Platform"), operated by Souq Labs Technologies LLC SPC, a company registered in Abu Dhabi, United Arab Emirates ("we", "us", "our").
1.2 By accessing, registering on, or using the Platform — including by creating an account, posting listings, subscribing to any paid plan, or contacting other users — you agree to be bound by these Terms and our Privacy Policy.
1.3 If you do not agree to these Terms, you must immediately stop using the Platform.
2.1 You must be at least 16 years old and legally capable of entering into binding contracts under applicable UAE laws to use the Platform.
2.2 To access certain features (including posting and managing listings and purchasing subscriptions), you must create an account by providing accurate, current, and complete information. You are responsible for updating your details whenever necessary.
2.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use or security breach.
2.4 We may refuse registration, suspend, or terminate any account at our discretion if we reasonably believe you have violated these Terms or any applicable law.
3.1 www.buyorsell.ae is an online classifieds marketplace where users within the United Arab Emirates can browse, post, and respond to listings across the following categories (which may evolve over time):
3.2 We reserve the right to add, modify, merge, split, or remove categories and subcategories at any time, without notice, to reflect market demand, legal requirements, or Platform improvements.
3.3 We are a classifieds platform only — not a seller, buyer, dealer, agency, broker, or service provider. All transactions (sales, rentals, hires, jobs, events) are directly between users. We do not:
3.4 Listings must accurately describe the item or service in the correct category. Prohibited listings include illegal items (drugs, weapons, counterfeits), adult content, financial services without a valid UAE Central Bank licence, medical advice without DHA/HAAD approval, or anything requiring special UAE approvals without proof.
3.5 We do not pre-screen listings but may, at our sole discretion, review, edit, hide, or delete content that violates these Terms, UAE laws, or harms users or Platform integrity. Use of the Platform is at your own risk — always verify sellers and buyers independently.
4.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms and applicable UAE laws and regulations.

4.3 You remain solely responsible for your activities on the Platform and for ensuring your use complies with all applicable laws. We will report any material breach of the above restrictions to the relevant law enforcement authorities and will cooperate with those authorities by disclosing your identity to them.
5.1 "Content" includes all text, images, photographs, videos, descriptions, prices, categories, messages, and other materials that you upload, post, or otherwise provide through the Platform ("User Content").
5.2 You are solely responsible for your User Content. You warrant that:
5.3 We may, at our discretion and without prior notice, edit, remove, or disable access to any User Content that we believe violates these Terms or applicable law, or that may harm our reputation or other users.
5.4 You understand that removed or deleted content may persist in backup copies for a reasonable period but will not be generally available to other users after removal.
6.1 The Platform and all content made available by us — including the logo, design, layout, software, text, graphics, and other proprietary materials (excluding User Content) — are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws.
6.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or business use in accordance with these Terms. You may not reproduce, modify, distribute, sell, lease, or create derivative works from any part of the Platform without our prior written consent.
6.3 By posting User Content on the Platform, you grant us a United Arab Emirates, non- exclusive, royalty-free, transferable, and sub-licensable licence to use, reproduce, modify, adapt, translate, publish, display, and distribute such content in connection with the operation, marketing, and improvement of the Platform.
6.4 You retain ownership of your User Content, subject to the licence granted above.
7.1 Certain features of the Platform — including posting or highlighting listings and accessing enhanced tools — may only be available through paid subscription plans ("Subscriptions"). Details of current Subscriptions, including free and featured tiers, duration, and fees, are displayed on the Platform.
7.2 By purchasing a Subscription, you authorise us to charge the applicable fees via our payment processor (Stripe) using the payment method you select. All fees are quoted in United Arab Emirates Dirhams (AED) unless stated otherwise, and are exclusive of any applicable taxes, which may be added as required by law.
7.3 Subscriptions may be offered on a recurring basis (for example, monthly or custom). If you choose a recurring Subscription, it will automatically renew at the end of each billing period at the then-current price, unless you cancel before the renewal date in accordance with Section 8.
7.4 You are responsible for ensuring that your payment information is correct and up to date. If a payment is declined or fails, we may suspend or terminate your access to the relevant Subscription features until payment is successfully processed.
7.5 Commitment to Subscription Term: Once you purchase any paid plan or feature, you are committed to the full selected term. We do not guarantee that your listing will result in any minimum number of leads, enquiries, or sales. This commitment applies except where mandatory rights are granted to you under applicable UAE consumer protection laws (Federal Decree-Law No. 15/2020). Please refer to Section 8 for your cancellation rights.
7.6 Where we collect payments from you via the Platform, by providing your payment details at checkout, you authorise us (acting through our chosen payment processor) to charge the relevant payment method for the amount displayed. We will not be responsible for any losses you suffer if your payment method has insufficient funds to cover the full value of a payment.
8.1 You may cancel your Subscription at any time through your account settings or by following the cancellation process specified on the Platform.
8.2 If you cancel a recurring Subscription, you will continue to have access to the relevant features until the end of the then-current billing period. Your Subscription will not renew thereafter, and no further charges will be applied, except for any outstanding fees already incurred.
8.3 Unless expressly stated otherwise in writing on the Platform or required by applicable law, all Subscription fees are non-refundable. This includes situations where you choose to terminate your account early or where your account is suspended or terminated due to your breach of these Terms.
8.4 We reserve the right to modify our Subscription plans and fees at any time. Changes will not affect current billing periods already paid for, but will apply from the next renewal. We will provide reasonable notice of any material changes. Your continued use after the effective date of changes constitutes your acceptance.
8.5 All refunds will be processed to the original payment method used for the transaction. Upon completion, we will provide you with proof of the refund transaction, at which point our refund obligation is fulfilled. Any delays or inability to access funds (for example, due to an inactive or expired card) shall be resolved directly by you with your bank or payment provider. Refunds are processed within a maximum of 7–14 business days.
8.6 If your original payment method is no longer active, you must notify us before the refund is initiated and provide valid evidence of an alternative payment method. We reserve the right to refuse processing to any alternative method unless such evidence is satisfactory and complies with applicable laws and our internal policies.
9.1 The Platform is intended exclusively for use within the United Arab Emirates. All listings, communications, and transactions must relate to goods, services, jobs, properties, or events located in, delivered in, or performed within the UAE. We block access from outside UAE IP addresses where technically feasible.
9.2 You may create listings only in the categories made available on the Platform. We may, at our discretion, re-categorise, modify, or remove listings placed in the wrong category or that do not fit any available category.

9.3 You must not list or promote goods, services, jobs, or opportunities that are illegal, restricted, or require special approvals in the UAE without holding and clearly disclosing the necessary licences. We may request proof and may remove listings or suspend accounts where proof is not provided.
9.4 You must comply with all applicable UAE laws, including the Federal Law No. 5/2012 (Combating Cybercrimes), the Consumer Protection Law (Federal Decree-Law No. 15/2020), the Labour Law (Federal Decree-Law No. 33/2021), and ADGM/DIFC regulations if applicable.
9.5 Paid Subscription plans unlock boosted visibility, featured listings, analytics, and priority support within approved categories only. Subscriptions do not guarantee sales, rentals, or responses. We do not facilitate shipping, delivery, payment handling, recruitment, or event organisation on your behalf unless explicitly stated in specific Platform features.
10.1 BuyOrSell allows users to rate and review their interactions with other users of the Platform, and to respond to any rating or review they receive (each a "Review"). The purpose of Reviews is to build trust, transparency, and a respectful community.
10.2 Any Review posted on the Platform must comply fully with these Terms and our Acceptable Use Policy. Reviews must:
10.3 By submitting a Review, you acknowledge that any views expressed are solely your own. Reviews do not reflect the views or opinions of BuyOrSell and BuyOrSell does not accept any liability in relation to any Review.
10.4 Although BuyOrSell is not responsible for any Review posted on the Platform, we reserve the right to monitor Reviews and to remove any Review that we consider to be in breach of these Terms or our Acceptable Use Policy.
11.1 The Platform allow users to communicate with each other via messenger service or contact information displayed on listings. You are solely responsible for your communications and any arrangements or transactions arising from them. We are not responsible for using any third party communication platforms (whatsapp, personal message, direct contact) therefore we encourage you to use the messenger services provided by our platform.
11.2 You must not use communication tools on the Platform to send unsolicited advertising, offensive content, or any content prohibited under these Terms or applicable law.
11.3 We are not obliged to monitor private communications between users, but we may investigate complaints and take appropriate action where we become aware of potential abuse.
12.1 The Platform may contain links to third-party websites, apps, or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party sites or services.
12.2 Your use of third-party services (including payment processors such as Stripe) is subject to their terms and conditions and privacy policies. You should review these carefully.
12.3 We are not liable for any loss or damage arising from your use of or reliance on any third- party sites, services, or content.
13.1 We collect, use, and process personal data in accordance with our Privacy Policy, which forms part of these Terms.
13.2 By using the Platform, you consent to the collection and use of your personal data as described in our Privacy Policy, and confirm that all data provided by you is accurate and up to date.
13.3 You are responsible for complying with any applicable data protection obligations you may have as a controller of personal data (for example, if you collect information from buyers or potential customers through the Platform).
13.4 We implement appropriate technical and organisational measures to protect personal data against unauthorised access, alteration, disclosure, or destruction, in compliance with UAE Federal Decree-Law No. 45/2021 on the Protection of Personal Data (PDPL).
15.1 The Platform, including all content, features, and services, is provided on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express or implied.
15.2 To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non- infringement, and any warranties arising from course of dealing or usage of trade.
15.3 We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects will be corrected.
15.4 We do not guarantee the accuracy, completeness, reliability, or timeliness of any content (including listings and user information) on the Platform, and we are not responsible for the conduct of any user or for any item or service offered by users.
16.1 To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, business interruptions, loss or corruption of data, loss of business opportunity, or other intangible losses, arising out of or in connection with your use of or inability to use the Platform.
16.2 We provide the Platform for personal and business use within the UAE. We do not guarantee the availability of the Platform, or that any content will be error-free or fit for any specific purpose. If we fail to comply with these Terms, we are only responsible for loss or damage you suffer that is a foreseeable result of our breach or failure to act with reasonable care and skill.
16.3 Our total aggregate liability to you for any and all claims arising out of or relating to the Platform or these Terms (whether in contract, tort, negligence, or otherwise) shall not exceed the greater of: (i) the total amount of Subscription fees you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) one thousand UAE Dirhams (AED 1,000).
16.4 Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable UAE law.
17.1 You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective directors, officers, employees, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
17.2 We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.
18.1 We may, at our discretion and without notice, suspend or terminate your account or access to the Platform (in whole or in part) if:

18.3 You may terminate your account at any time by following the instructions on the Platform. Termination by you does not entitle you to any refund, except where explicitly required by law or expressly provided by us in writing.
19.1 We may update, modify, or discontinue any aspect of the Platform at any time, with or without notice, provided that such changes do not materially reduce the core features of any active Subscription without reasonable notice.
19.2 We may revise these Terms from time to time. The updated Terms will be posted on the Platform with an updated "Last Updated" date.
19.3 Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with any changes, you must stop using the Platform and, if applicable, cancel your Subscription.
20.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates.
20.2 The courts of Abu Dhabi, United Arab Emirates, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Platform, subject to any mandatory provisions of applicable law.
20.3 Before initiating formal legal proceedings, we encourage you to contact us directly at the details in Section 22 to seek an amicable resolution.
21.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
21.2 Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
21.3 You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, without restriction.
21.4 These Terms, together with our Privacy Policy and Cookie Policy, and any additional terms applicable to specific features or promotions, constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements or understandings relating to the same subject matter.
21.5 Verified Business Account: BuyOrSell may from time to time make available a 'Verified Business Account' feature, allowing business users to secure a 'Verified Business' status. The perks associated with this feature may change over time and will be described on the Platform at all relevant times. As part of this feature, you may display your business logo, a description of your business, and a link to your website. All content must be accurate, appropriate, compliant with our Acceptable Use Policy, and must not infringe any third-party rights.
21.6 The Annexes to these Terms contain additional terms applicable to specific features of the Platform. If there is any conflict between the main Terms and any Annex, the main Terms take precedence.

The 'Property for Sale' and 'Property for Rent' sections of the Platform allow property owners, brokers, real estate agents, and real estate developers to advertise properties, and prospective buyers or renters to view listing information and contact the relevant party.

The 'Motors' section of the Platform allows sellers to advertise vehicles for sale, and prospective buyers to view vehicle information and contact the relevant seller.
If you are a seller, you acknowledge and agree that any vehicle you advertise on the Platform must:
Proof of Ownership: BuyOrSell may request proof of ownership of the vehicle and/or proof that the vehicle is located in the UAE and has been cleared by local customs. If you do not provide such proof within the timeframe specified in our request, we may immediately remove the relevant listing without further notice and without any refund.
The 'Jobs' section of the Platform allows employers and recruiters to advertise open positions, and job seekers to submit applications for those positions.
